General Terms and Conditions

Baumschule Steiner GmbH — As of: June 2026

§ 1 Scope These General Terms and Conditions apply to all deliveries and services of Baumschule Steiner GmbH (hereinafter „Seller“) to companies (hereinafter „Buyer“). Any deviating conditions of the Buyer shall have no validity unless the Seller has expressly agreed to them in writing.


§ 2 Offer and Contract Conclusion
Offers made by the Seller are non-binding and subject to change. Enquiries via the website, by email, or by phone do not yet constitute a binding offer. A contract is only concluded upon written order confirmation by the Seller. Verbal ancillary agreements require written confirmation to be valid.


§ 3 Prices and Payment
The prices agreed upon at the time of order confirmation apply, each plus statutory VAT. Invoices are to be settled within 14 days of the invoice date without deduction. In the event of late payment, default interest at the statutory rate shall apply. The Seller reserves the right to require advance payment or a deposit for larger order quantities.


§ 4 Delivery
Delivery dates and deadlines are non-binding estimates unless expressly agreed as binding. Delivery delays due to force majeure, weather conditions, or other circumstances beyond the Seller’s control do not entitle the Buyer to withdraw from the contract or claim damages. Partial deliveries are permitted. Delivery terms (ex works, collection, or delivery) are specified in the respective offer.


§ 5 Plant Quality and Condition
All delivered plants comply with Austrian and European quality standards for nursery stock. Natural variations in size, shape, and appearance of plants do not constitute a defect and do not give rise to any claim for reduction in price or replacement. Photos and illustrations on the website are for illustrative purposes only.


§ 6 Warranty and Notice of Defects
Defects must be reported in writing immediately, but no later than 5 working days after delivery. In the case of justified and timely reported defects, the Seller is entitled, at its own discretion, to remedy the defect or provide a replacement delivery. Further claims, in particular for damages, are excluded to the extent permitted by law. No warranty is provided for the rooting or further growth of plants, as this depends on factors such as location, care, and weather conditions.


§ 7 Retention of Title
The delivered goods remain the property of the Seller until full payment of the purchase price. The Buyer is not entitled to resell or pledge the reserved goods prior to full payment.


§ 8 Liability
The Seller is only liable for damages caused by gross negligence or intent. Liability for slight negligence, loss of profit, indirect damages, or consequential damages is excluded to the extent permitted by law.


§ 9 Final Provisions
Austrian law applies, excluding the UN Sales Convention. The place of jurisdiction for all disputes is Ried im Innkreis. Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall not be affected.
